Terms and Conditions of Use

The rules governing access to and use of our brand building consultancy services.

1. Definitions and Scope of Service

These Terms and Conditions ("Terms") govern the access to and use of the strategic consultancy services for brand identity development ("Services") offered by Costruire Brand through the website mctitties.com ("Site").

The Services include analysis, strategy, definition of visual style and communication activities, aimed at creating or strengthening a recognizable and consistent brand identity for the Client. The Services do not include the physical creation of assets (e.g., logos, websites) unless explicitly agreed upon in a separate contract.

2. Acceptance and Modifications

By accessing or using our Services, the User declares to have read, understood, and accepted to be bound by these Terms. We reserve the right to modify or update these Terms at any time. Modifications will become effective upon publication on the Site. Continued use of the Services after such modifications constitutes acceptance of the new Terms.

3. Rights and Obligations of the Parties

3.1 Obligations of the Provider (Costruire Brand)

We undertake to provide the Services with diligence and professionalism, in compliance with the agreements made. We will provide consultancy based on recognized methodologies and industry best practices.

3.2 Obligations of the Client/User

The Client undertakes to:

  • Provide complete, accurate, and truthful information necessary for the provision of the consultancy.
  • Respect the intellectual property of the materials provided.
  • Use the Services in compliance with all applicable laws and regulations.
  • Not use the Services for unlawful, fraudulent, or harmful purposes.
4. Limitations of Liability

The consultancy services are intellectual and strategic in nature. We do not guarantee specific commercial results, revenue increases, or market success resulting from the application of our recommendations. Final implementation decisions rest solely with the Client.

In no event shall our liability, for any reason, exceed the total amount paid by the Client for the specific Services that gave rise to the claim. We are exempt from liability for indirect, consequential, incidental damages or loss of profit.

5. Intellectual Property and Confidentiality

The materials, models, methodologies, and preparatory documents ("Work Materials") provided during the consultancy remain our intellectual property. The Client is granted a limited, non-exclusive, and non-transferable license to use the final Work Materials exclusively for their own brand project as agreed.

Both parties undertake to treat as strictly confidential all confidential information shared during the provision of the Services.

6. Payments, Refunds, and Termination

Specific payment terms (amounts, deadlines, methods) are defined in the quote or separate contract accepted by the Client. In the absence of specific agreements, the following general conditions apply:

  • Payments are due according to the invoices issued.
  • In case of late payment, we reserve the right to suspend the Services.
  • Refunds for Services not yet provided are evaluated on a case-by-case basis. For consultancy already started, proportional refunds are not provided, unless otherwise agreed in writing.

Both parties may terminate the relationship with written notice. In case of termination by the Client after work has begun, the Client is required to pay for the portion of Services already provided up to the termination date.

7. Final Provisions

These Terms constitute the entire agreement between the parties regarding the subject matter described herein. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

These Terms are governed by and interpreted in accordance with Italian law. Any dispute relating to these Terms shall be subject to the jurisdiction of the Court of Milan.
